Trade Encore — SEBI Registered Research Analyst

Important: These Terms govern your use of our website, memberships, research content, and related services. By creating an account, purchasing a plan, or accessing our content, you confirm you have read, understood, and agree to these Terms, our Internal Policies & Procedures, Investor Charter, Standard Disclosures and Privacy Policy.

1) Definitions

  • “We”, “Us”, “Our” means Trade Encore.
  • “Client”, “You”, “Member” means any user who accesses our website, subscribes to a plan, or consumes our research.
  • “Research Services” means research reports/notes, daily outlooks, long-term/positional/F&O research (as per plan), and related educational content.
  • “Dashboard” means your member login area where research is delivered.
  • “Family” (for fee-cap purposes) generally means individual, spouse, dependent parents, and dependent children (as per prevailing SEBI/RAASB interpretation).

2) Nature & Scope of Services

  • We provide research services only. We do not provide individualized investment advice, portfolio management, or execution of trades.
  • Our research includes: Daily Market Outlook, Long-Term (≥ 3 years) equity research, Positional equity research (few weeks), Mutual Fund research guidance, F&O research (only in specific plans), and educational posts on our Trade Blog.
  • Service availability and inclusions vary by plan (Fin, T-Fin, Silver/Gold/Platinum). See membership pages for current inclusions.

3) Eligibility & Onboarding

  • You must be legally competent to contract under Indian law.
  • You agree to complete KYC and provide accurate information. You authorize us to collect, store, verify, and update your KYC and maintain verifiable records of our interactions, as required by regulation.

4) Client Responsibilities

  • Use our research at your own discretion and risk. Read all related risk notes and disclosures before acting.
  • Keep your contact details up to date in the Dashboard.
  • Do not request or permit us (or anyone claiming to be us) to place orders or execute trades on your behalf.

5) Fees, Advance & Fee Cap (SEBI/RAASB-aligned)

  • Fees for plans are displayed on our website and at checkout. Prices may change prospectively. Taxes and statutory charges (if any) are additional.
  • We may collect fees in advance, but any advance shall not exceed the SEBI-stipulated period (presently one quarter) or as amended from time to time.
  • For Individual/HUF clients, a family-level annual fee cap applies as per prevailing SEBI/RAASB limits (statutory charges excluded). The cap does not apply to non-individuals or accredited investors.
  • Where applicable, we will apply the cap in aggregate across research services within the defined family for the relevant period, consistent with regulation.

6) Payment Modes

  • Accepted: non-cash modes such as bank transfer, UPI, net-banking, cards, cheque, or any other mode we announce on our website from time to time.
  • Cash payments are not accepted.
  • Clients may optionally route payments via BSE's CeFCoM (RAASB managed facility), if/when applicable.

7) Refunds, Cooling-off & Early Termination

  • Cooling-off (if offered on a plan): Any cooling-off period and conditions will be disclosed on the plan page and invoice.
  • If services are terminated early (by you or by us), you are entitled to a pro-rata refund for the unexpired period of the active subscription, net of statutory charges (if any).
  • This pro-rata clause overrides any earlier “no refunds for unused portions” language.

8) No Assured Returns & Risk Disclosure

  • No performance is assured/guaranteed. Past performance does not indicate future results. Registration/enlistment/certifications do not guarantee returns.
  • Standard Risk Warning: Investments in the securities market are subject to market risks. Read all related documents carefully before investing.
  • Our research may include risks, review triggers, and stop-loss levels, but execution discipline and outcomes remain your responsibility.

9) No Execution & No Credentials Policy

  • We never execute trades or place orders for you. You must not authorize us to do so.
  • We will never ask for your broker/demat/bank login credentials or OTPs. Never share such credentials with anyone, including us.

10) Conflicts of Interest & Disclosures

  • We will disclose and mitigate any actual/potential conflict of interest as per regulations.
  • Please review our Standard Disclosures for holdings, relationships, compensation disclosures, and other mandated statements.

11) Delivery of Research & Communications

  • Research is delivered via your Dashboard and may also be notified on email/SMS/WhatsApp/Telegram/app/portal notifications (service communications).
  • You consent to receive such service and regulatory communications related to your membership. You can manage marketing preferences separately (if offered).

12) Use of AI/Automation

  • We may use AI tools and analytics to assist in research generation, formatting, screening, and delivery, with appropriate controls.
  • See our Privacy Policy for how we handle personal data when using such tools.

13) Intellectual Property

  • All content (research reports, notes, outlooks, posts, tools) is our IP or used under license.
  • Your plan grants a limited, personal, non-transferable license to access and use the content for your own investment research.
  • Reproduction/redistribution, re-posting behind paywalls, or sharing to non-members is prohibited without written consent.

14) Website & Account Use

  • Maintain the confidentiality of your login. Notify us immediately of any unauthorized use.
  • We may suspend/limit access for suspected misuse, security issues, or regulatory reasons.

15) Limitation of Liability

  • To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential losses, loss of profit/opportunity, or trading losses resulting from use of our research or website.
  • Our total aggregate liability, if any, shall not exceed the fees paid by you for the relevant subscription period in which the claim arose.

16) Indemnity

You agree to indemnify and hold us harmless from claims/losses arising from your misuse of the website/content, breach of these Terms, or violation of applicable laws.

17) Force Majeure

We are not responsible for delay/failure to perform due to events beyond our reasonable control (including outages, cyber incidents, regulatory actions, natural calamities).

18) Records & Audit

We maintain records of research, communications, and approvals as required by law/regulation and may furnish them to regulators/exchanges as legally mandated.

19) Grievance Redressal & Escalation

If you have a grievance, please follow this three-step escalation:

We aim to acknowledge within T+1 working day and resolve within T+30 calendar days (or sooner where possible).
Step 2 — SEBI SCORES:
If unresolved or dissatisfied, lodge a complaint on SEBI SCORES: scores.sebi.gov.in
Step 3 — SMART-ODR (Online Dispute Resolution):
You may also use the SMART-ODR portal: smartodr.in

(We will cooperate in good faith with all lawful grievance redressal/ODR mechanisms.)

20) Plan Changes, Suspension & Termination

  • We may modify plan features prospectively. You will be informed in advance where required.
  • We may suspend or terminate your access for regulatory non-compliance, misuse, or unlawful activity.
  • You may terminate at any time from your Dashboard or by writing to us; pro-rata refund applies for any unexpired paid period (see §7).

21) Amendments to These Terms

We may update these Terms to reflect legal, regulatory, or operational changes. The updated version will be posted with an "effective date." Continued use after changes constitutes acceptance.

22) Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to ODR options above, the courts at Pune, Maharashtra will have exclusive jurisdiction.

23) Entire Agreement & Severability

  • These Terms, together with the Policies/Charter/Disclosures linked above, constitute the entire agreement for your use of our research and website.
  • If any provision is held invalid, the remainder will continue in effect.

24) Acceptance

By ticking the acceptance box and proceeding with sign-up/payment, you confirm that you have read, understood, and agree to:

(i) these Terms & Conditions, (ii) Internal Policies & Procedures, (iii) Investor Charter, (iv) Standard Disclosures, and (v) Privacy Policy, and that you understand the risk warnings, no-execution, and no-credentials rules.

Most Important Terms and Conditions (MITC)

As per SEBI Master Circular Annexure B, Section 12 — Standardized by Industry Standards Forum (ISF) in consultation with SEBI and RAASB

  1. These terms and conditions, and consent thereon are for the research services provided by the Research Analyst (RA) and RA cannot execute/carry out any trade (purchase/sell transaction) on behalf of, the client. Thus, the clients are advised not to permit RA to execute any trade on their behalf.
  2. The fee charged by RA to the client will be subject to the maximum of amount prescribed by SEBI/Research Analyst Administration and Supervisory Body (RAASB) from time to time (applicable only for Individual and HUF Clients).
    • The current fee limit is ₹1,51,000/- per annum per family of client for all research services of the RA.
    • The fee limit does not include statutory charges.
    • The fee limits do not apply to a non-individual client / accredited investor.
  3. RA may charge fees in advance if agreed by the client. Such advance shall not exceed the period stipulated by SEBI; presently it is one quarter. In case of pre-mature termination of the RA services by either the client or the RA, the client shall be entitled to seek refund of proportionate fees only for unexpired period.
  4. Fees to RA may be paid by the client through any of the specified modes like cheque, online bank transfer, UPI, etc. Cash payment is not allowed. Optionally the client can make payments through Centralised Fee Collection Mechanism (CeFCoM) managed by BSE Limited (i.e. currently recognized RAASB).
  5. The RA is required to abide by the applicable regulations/circulars/directions specified by SEBI and RAASB from time to time in relation to disclosure and mitigation of any actual or potential conflict of interest. The RA will endeavor to promptly inform the client of any conflict of interest that may affect the services being rendered to the client.
  6. Any assured/guaranteed/fixed returns schemes or any other schemes of similar nature are prohibited by law. No scheme of this nature shall be offered to the client.
  7. The RA cannot guarantee returns, profits, accuracy, or risk-free investments from the use of the RA's research services. All opinions, projections, estimates of the RA are based on the analysis of available data under certain assumptions as of the date of preparation/publication of research report.
  8. Any investment made based on recommendations in research reports are subject to market risks, and recommendations do not provide any assurance of returns. There is no recourse to claim any losses incurred on the investments made based on the recommendations in the research report. Any reliance placed on the research report provided by the RA shall be as per the client's own judgement and assessment of the conclusions contained in the research report.
  9. The SEBI registration, Enlistment with RAASB, and NISM certification do not guarantee the performance of the RA or assure any returns to the client.
  10. For any grievances:

    Step 3: The client may also consider the Online Dispute Resolution (ODR) through the Smart ODR portal at https://smartodr.in

  11. Clients are required to keep contact details, including email id and mobile number/s updated with the RA at all times.
  12. The RA shall never ask for the client's login credentials and OTPs for the client's Trading Account, Demat Account and Bank Account. Never share such information with anyone including RA.

Mandatory notice: Clients shall be requested to go through Do's and Don'ts while dealing with RA as specified in the Investor Charter.
